Many of us dream of starting our own business, and for many, the only step left is officially registering their company. But what is the process of legally establishing a company in Azerbaijan?

According to business consultant Vusal Selimov, it is possible to register a company online within three days without paying any fees. The first step is to register online with the relevant State Tax Service authorities:
"During registration, an entrepreneur must obtain an ‘ASAN Imza’ (mobile electronic signature), enter details such as the company’s name, charter capital, legal address, director, shareholders, and other essential information. The process does not require extensive documentation. The tax authority reviews the application within three days. If there are no discrepancies in the information provided, you receive a notification confirming your company's registration. If there are inconsistencies, your application will be rejected, and the reasons will be communicated to you. After making the necessary corrections, the company will be registered. Some reasons for rejection may include the chosen company name already being in use or the absence of a legal address.”
What Happens After Company Registration?
Once your company is registered, you will receive a Taxpayer Identification Number (TIN or VÖEN), an extract from the registry, and charter documents in your personal cabinet on the State Tax Service’s electronic system.
The next step is to obtain a company seal. According to Vusal Selimov, this is a straightforward process:
"All companies are required to have a company seal as per state regulations. Individual entrepreneurs with a TIN are not obliged to have a seal, but they can obtain one if desired. The company's director or sole proprietor (who is a physical person with a TIN) can present their legal documents to a printing service and obtain a company seal within a single day or even faster.”
Opening a Business Bank Account
The next step is to open a business bank account. According to the consultant, some banks in Azerbaijan offer online bank account opening services:
"Through your personal cabinet, you submit an application to the State Tax Service for opening a bank account. You specify the bank where you want to open an account. Within 1-2 days, the State Tax Service sends a ‘Certificate Duplicate’ to your selected bank. You then visit the bank to complete the account opening process. Currently, some banks allow online bank account opening as well.”
Registering a Business Address
At the same time, entrepreneurs can formalize their lease agreement:
"Both parties—the landlord and the tenant—must sign and seal the lease agreement. Once completed, you register the business premises under your company’s name and obtain an identification code for the location.”
After completing these steps, you can officially start operating as a company. Vusal Selimov notes that company registration procedures in Azerbaijan are straightforward and are becoming even simpler over time:
"Depending on the type of business, a license may be required. The procedures for obtaining a license are being simplified year by year.”
Business Growth and Classification
As companies grow, they can transition from micro-businesses to large enterprises. In Azerbaijan, business entities are classified based on their annual revenue:
• Micro-business: Turnover up to 200,000 AZN.
• Small business: Turnover between 200,000 AZN and 3 million AZN.
• Medium-sized business: Turnover between 3 million AZN and 30 million AZN.
• Large business: Turnover exceeding 30 million AZN.
State Benefits and Incentives for Small and Medium Businesses
According to Selimov, small businesses can take advantage of certain government incentives:
"During the initial registration process with the State Tax Service, you are asked to choose the type of taxation for your company. The available options include ‘Simplified Tax,’ ‘Income Tax’ (for individuals with a TIN), ‘Profit Tax’ (for legal entities), and ‘Value Added Tax (VAT).’ Since you are just starting, I would recommend choosing either Simplified Tax or Profit/Income Tax. If a company’s rolling 12-month turnover does not exceed 200,000 AZN, it can remain under the Simplified Tax regime. Companies under this regime pay only 2% of their revenue as tax. If a company opts for Profit or Income Tax and qualifies as a micro-business (with an annual turnover below 200,000 AZN), they can benefit from a 75% exemption on the standard 20% profit tax under the Tax Code of Azerbaijan.”
Access to Loans and Financing
Opportunities vary depending on whether a business is micro, small, or medium-sized:
"If a small business has been operating for some time and has an established history, it can obtain loans from banks even with a lower turnover. However, banks generally do not offer special credit incentives for small businesses. Micro-businesses have even fewer opportunities to secure loans. In contrast, medium-sized businesses have greater access to bank loans and benefits compared to small businesses, as they are seen as more stable and reliable.
The government has established specific institutions, such as the Small and Medium Business Development Agency (KOBIA), to support SMEs in obtaining financing and fostering business growth.”
Should You Buy a Ready-Made Business?
For some entrepreneurs, buying an existing business instead of registering a new one may be a better option. Selimov explains:
"In certain industries, buying an existing business is more beneficial than starting from scratch. For example, if you need a company to participate in government tenders, it is better to purchase an existing company. Many tenders require that the company has a track record in its specific industry. If you register a new company, you will not be able to meet the tender eligibility requirements. However, ready-made businesses are usually more expensive.”

Before starting a business, Selimov advises entrepreneurs to develop a clear business plan:
"Before handling legal documentation, you should have a clear business plan. Gain a full understanding of the industry you are entering, as the practical realities of business operations can be very different from what they appear on the surface. There is no such thing as an ‘easy’ business to make money. Every industry has its challenges and complexities.”

Access to the personal cabinet is possible from any device, including computers, tablets, and smartphones. In the personal cabinet, users are provided with the following capabilities: detailed information about the validity period of all 'Asan Imza' certificates belonging to the user; online application for additional 'Work' or 'State' type certificates; extension of the validity period of existing certificates online for the next 3 years; change of user ID; monitoring of all transactions carried out with 'Asan Imza'. For heads of enterprises and organizations, the main functionality of the personal cabinet is the ability to manage 'permissions', allowing them to decide whether to grant or deny employees and electronic services access with 'Asan Imza'. In the near future, it is also planned to introduce a service for the recovery of user PIN codes.
With the emergence of new threats and attack methods on digital platforms, the use of additional security mechanisms becomes vital. For this purpose, an innovative service in the field of cybersecurity—the encryption and decryption service for documents—will be launched.
The advanced encryption strengthened by the mobile signature of 'Asan Imza' plays a significant role in ensuring a high level of security in online transactions. This security mechanism ensures that users' confidential information remains inaccessible to unauthorized persons, thereby maintaining trust in the electronic signature system. This service can also be used to encrypt electronic wallets, crypto wallets, and more.
Additionally, in the coming days, the new www.asandoc.az portal will be launched, offering services such as file encryption and decryption, multisign (bulk signing), signature verification, document request approval/rejection, use of predefined contacts, signature groups and roles, sending documents via email through a link, and more.
To prevent potential threats that may arise from the development of quantum computing and artificial intelligence, our company has made a strategic decision to proactively apply quantum-resistant cryptographic algorithms to the 'Asan Imza' service. This approach stems from the necessity to ensure the long-term protection of Azerbaijani citizens' data from quantum decryption. The implementation of this initiative aims to prevent the possibility of compromising the information assets we protect in the future through the use of quantum computers. We are confident that these innovations will have a significant impact on ensuring sustainable mechanisms for the development of the digital economy in Azerbaijan.
The 'Asan Imza' service can be used on all types of phones, including relatively old button phones, even those without internet access.
– As we know, over time, virtual SIM cards (eSIM) are gradually replacing classic SIM cards. Smartphone manufacturers are already gradually abandoning SIM card slots. The eSIM service is also available in Azerbaijan. What does 'Asan Imza' offer to eSIM users?

Designed in accordance with international best practices, the updated platform aims to enhance transparency, accessibility, digitalization, competition, and user satisfaction in the auction process.

Updated Version of the Auction Website Launched in Azerbaijan
According to the recently updated UN Global Survey on Digital and Sustainable Trade Facilitation, the Republic of Azerbaijan has achieved remarkable progress and leading position in the region.
The Survey covers over 160 economies around the globe, and 60 measures related to the WTO’s Trade Facilitation Agreement (TFA), as well as emerging regional and global initiatives on paperless trade or e-trade, such as the recent Framework Agreement on Facilitation of Cross-Border Paperless Trade in Asia and the Pacific (CPTA).
The results of Azerbaijan in this Survey based also on the Azerbaijan Readiness Assessment for Cross-border Paperless Trade country report which was published last year. This report was prepared by the United Nations ESCAP (ESCAP Subregional Office for North and Central Asia) consultants team led by Jana Krimpe worked diligently under the direct supervision of experts from the Economic and Social Commission for Asia and the Pacific (ESCAP).
The coordination and consolidation of data with participating agencies were conducted by the State Customs Committee of the Republic of Azerbaijan (SCC) and the Center for Analysis of Economic Reforms and Communication (CAERC), with invaluable guidance and support from all related state agencies and the private sector. The national focal points of Azerbaijan in UN ESCAP are Mr. Natig Shirinov (SCC) and Prof. Vusal Gasimli (CAERC), who are facilitating coordination, information sharing and joint planning at national level.
This collaborative effort has resulted in significant advancements for Azerbaijan over the past eight years. The country's overall trade facilitation score has soared from 47.31% to an impressive 87.10%. This represents a substantial leap forward of 2.15% compared to the previous year's score of 84.95%.
The results of the survey were unveiled during the launch event on 5th July 2023, presented by the United Nations Regional Commissions and UNCTAD. Notably, based on the updated information, Azerbaijan has emerged as the leader among countries in the region, surpassing the scores of the Kazakhstan (76.34%), Belarus (72.04%), Ukraine (60.22%), Uzbekistan (84.95%), Moldova (62.37%), and Armenia (75.27%). Furthermore, Azerbaijan has also outperformed several European countries, including Finland (87.10%), France (79.57%), Italy (84.95%), Latvia (75.27%), Lithuania (81.72%), Portugal (84.95%), and Norway (84.95%).
Of particular significance is Azerbaijan's achievement of 100% implementation in measures related to transparency and agricultural trade facilitation. Noteworthy progress has also been made in the categories of "Paperless Trade" and "Institutional Arrangement and Cooperation." Under these categories, Azerbaijan's score has increased from 85.2% to 88.9% and from 77.8% to 88.9%, respectively.
Jana Krimpe, the leader of the consultant team, commended the collaborative efforts, saying, "The remarkable progress achieved by Azerbaijan in the UN Global Survey on Digital and Sustainable Trade Facilitation is a testament to the dedication and hard work of our team, as well as the unwavering support from the State Customs Committee and the Center for Analysis of Economic Reforms and Communication and Ministry of Economy. Together, we have demonstrated Azerbaijan's commitment to enhancing trade facilitation through digitalization and effective governance. Our nation's outstanding progress serves as an inspiration for sustainable and efficient trade practices in the global arena I am confident that by collectively considering the recommendations outlined in the report, we can achieve highest results in the next Global Survey."
Jeyhun Najafli, one of the consultants involved in the elaboration of the report, further highlighted the measures that have been fully implemented. "Azerbaijan has made significant strides in implementing trade facilitation measures, particularly in the areas of transparency and agricultural trade facilitation," stated Najafli. "These measures have been crucial in boosting Azerbaijan's overall scores. Among the 58 measures listed in the UNTF survey, the Republic of Azerbaijan has fully implemented 40 measures."
One noteworthy initiative is the creation of the National Committee on Trade Facilitation (NCTF), which is currently in the process of implementation. "The establishment of the NCTF, as a partially implemented measure, marks a significant step forward," Najafli explained. "During the elaboration of the Readiness Assessment for Cross-Border Paperless Trade: Azerbaijan report, the importance of creating the NCTF was recommended. Under the joint chairmanship of the State Customs Committee and the Ministry of Economy, the NCTF will serve as a crucial platform for coordination and collaboration between government agencies and businesses. It will play a vital role in streamlining trade procedures, enhancing efficiency, and further improving trade facilitation in Azerbaijan."
Guided by the encouraging findings and recommendations of the survey, recent years the Government of Azerbaijan has taken proactive steps towards implementing a series of improvements to digitalize and streamline cross-border trade operations and procedures. These efforts are aimed at enhancing trade facilitation and efficiency. Notable initiatives, including the introduction of electronic declarations, advance rulings, the implementation of an Automated Customs System, and the establishment of an Electronic Single Window System, have played a pivotal role in driving up the scores in the realm of Digital and Sustainable Trade Facilitation. Furthermore, these efforts have created favorable opportunities for businesses, particularly small and medium enterprises (SMEs), fostering their participation in international trade.
The collaboration between businesses and the government (Public Private Partnership) exemplifies Azerbaijan's unwavering commitment to advancing trade facilitation through digitalization and effective governance.

On September 18, in Baku, Azerbaijan, a high-level delegation from Uzbekistan, led by Khakimov Obid Arzikulovich, Director of the Center for Economic Research and Reform under the Administration of the President of the Republic of Uzbekistan, visited the Center for Analysis of Economic Reforms and Communication (CAERC) of Azerbaijan. The meeting focused on expanding economic, trade, and investment relations between the two countries.

The State Tax Service under the Ministry of Economy of Azerbaijan, in collaboration with B.EST Solutions, has introduced a new-generation enhanced mobile digital Asan Imza service based on electronic SIM (eSIM) technology. The eSIM version of Asan Imza functions as a fully digital alternative to the physical SIM card-based Asan Imza service.
The eSIM Asan Imza, supported by modern smartphones, is initially available for subscribers of a specific mobile operator, with plans for future expansion to other operators. This next-generation eSIM solution offers multiple advantages, including high-level encryption and security, ensuring safe digital transactions through advanced cryptographic algorithms. Moreover, the virtual eSIM card eliminates the risks of physical SIM card loss or theft.
The eSIM-based solution replaces physical SIM cards, providing not only enhanced security but also environmental benefits, aligning with global sustainability efforts to reduce plastic usage. Additionally, eSIM users can activate multiple numbers on a single device, offering greater flexibility and functionality.
Strengthening Security for Taxpayer Access
Starting January 1, 2024, as part of the ongoing efforts to enhance data security and protection, access to the Internet Tax Office using user codes, passwords, and PINs will be restricted.
Under the "Electronic Signature and Electronic Document Law," Asan Imza holds the same legal force as a handwritten signature and is actively used in over 2,000 e-services across government and private sectors. To date, over 3 million Asan Imza certificates have been issued, with more than 300 million transactions successfully processed.

The State Tax Service remains committed to delivering high-quality digital services to taxpayers nationwide, focusing on data security and compliance with international standards. The requirement to access the Internet Tax Office exclusively via Asan Imza ensures enhanced data protection and secure authentication for all users.
